1. Services
Somaz Studio LLC ("we," "us," or "the Studio") provides architecture, interiors, visualization, consulting, and design coordination services. In Argentina, some projects may include broader architectural scope subject to actual licensure and applicable jurisdiction. In Florida, Miami, and international markets, when a project requires sign-off, regulatory adaptation, or local submission, Somaz coordinates with licensed or registered local partners. By engaging our services or submitting a project inquiry, you agree to these Terms of Service.
2. Project Agreements
Each project is governed by a separate written agreement or proposal specifying scope, deliverables, timeline, and fees. These Terms supplement — and do not replace — any project-specific agreement. In case of conflict, the project agreement controls.
3. Intellectual Property
All designs, renderings, drawings, and creative works produced by Somaz Studio remain the intellectual property of Somaz Studio until full payment is received. Upon payment, clients receive a license to use the deliverables as specified in the project agreement. We retain the right to display completed work in our portfolio unless otherwise agreed in writing.
4. Payments
Payment terms are specified in each project agreement. A deposit is typically required before work begins. Small projects are usually structured 50/50 and phased projects 40/40/20. Local partner fees, filings, consultants, and third-party costs are excluded unless expressly included in writing. Unpaid balances may result in work being paused or deliverables withheld until payment is received.
5. Revisions and Scope
Each proposal includes a defined number of revision rounds. Additional revisions, scope changes, jurisdiction changes, late partner involvement, or new resubmissions beyond the original scope require a change order or fee adjustment agreed in writing before work proceeds.
6. Limitation of Liability
Unless a project agreement expressly states otherwise within a properly enabled jurisdiction, Somaz does not act as the architect-of-record, local signatory, or primary submission authority outside its contracted scope. In the US and international markets, documents may require review, adaptation, sign-off, and submission by a licensed local professional. Visualization or consulting deliverables are not construction documents unless expressly stated and completed under the correct jurisdictional workflow. We are not liable for construction use, submission, or decisions taken from unfinished documents or documents not reviewed by the competent professional. Our total liability for any claim shall not exceed the fees paid for the specific project giving rise to the claim, except where applicable law prevents that limitation.
7. Confidentiality
We treat all client project information as confidential and will not disclose it to third parties without your consent, except as required by law or when sharing is necessary with local partners, consultants, or providers within the relevant contractual workflow. We may also operate under NDA where required.
8. Governing Law
These Terms operate as the site's general framework and are governed by the laws of the State of Florida, United States. However, each project may operate under a specific contractual package depending on its jurisdiction profile (`Florida / International` or `Argentina`). In case of conflict, the applicable project agreement controls.
